I am using a pc running win xp sp2, 256 mb ram, 2.3 GHz P4 in Intel 865GBF chipset

Retain the same video resolution while convertting video. Say if the original video resolution is 740 X 480 try to retain it. Again retain the same frequency. Say is Video Frequency 29.97 NTSC is retain it. Never restrict your video to fixed size (say for the size of a CD). Choose the latest DivX driver and sure you will get better results.
